Joint ventures
One of the key challenges with any joint venture is identifying a structure that works for both parties. Typically, the choice will be between:
- a limited liability company (usually a private limited company);
- a limited liability partnership;
- a partnership; or
- a contractual collaboration or co-operation agreement.
We have considerable expertise in advising clients on the structure, formation, investment in and disposal or termination of joint ventures.
In any complex business venture, particularly a cross-border venture, tax and competition law considerations are likely to be key factors in deciding the structure. We work closely with our colleagues in our Tax and Commercial teams to address these issues.
Work experience/case studies:
- Advising a manufacturing client on a property joint venture involving the sale and leaseback of a very valuable commercial site in South Wales. The property was sold in earlier this year generating a return of capital of 312% for the joint venture.
- Advising IOP Publishing Limited (the trading division of the Institute of Physics) on the entry into and termination of a number of commercial joint ventures, including cross border joint ventures
- Advising a Dutch group in connection with the establishment of a UK joint venture company jointly owned with an Italian group.
