We advise private investors, institutions and companies on a broad range of investment projects, including VC/private equity investments, private placing and rights issues.

Our experience includes advising on the structure of investments, the negotiation of investors' rights and protections, the carrying out of due diligence exercises as well as advising investors on exit strategy.

We have a particular track record of advising clients on early stage funding. We are panel advisers to Yorkshire Fund Managers (South West Ventures) and have advised YFM on 7 venture capital investment projects since August 2005 (6 investments and 1 exit) including investments in VQ Communications Limited, CMS Global Technologies Limited, Covalent Software Limited and AuPix Limited.


Work experience/case studies:

  • We advised the shareholders of Pulsic Limited on the €5.3million first round investment financing provided by leading European venture capital firms Prime Technology Ventures and Index Ventures.
  • We have advised Bristol based media technology company Coull Limited on a series of investment rounds including the issue of convertible debt instruments and a rights issue. In particular, we advised Coull on the $1.5million investment by City investor Rupert Hambro & Partners.
  • We advised Destini Financial Services Group plc (now Thinc Destini Group Limited) on the private placing of its shares. Thinc Destini Group is now valued at more than £100million.
